SENIOR-LIVING is dedicated to providing families with a comprehensive and cost effective approach to evaluating Senior Care options. We receive fees from the facilities but are not owned or operated by any of our partners. Our Local Care Advisors are members of the Association of Geriatric Care Professionals.

Listing on Senior Living Service, Reviews and Ratings

SENIOR-LIVING reserves the right to remove a partner from our site or service for any reason at any time. Part of our service includes providing feedback on facilities through our employees, partners and the families we serve. Any information we make available on our public site, we provide the opportunity for rebuttal content to be provided by a partner facility. The sources of the content are clearly listed allowing our partners to respond to any outstanding service, care or business issue. Our goal is to get the most accurate information to our family members to assist with their care decisions.

Liability Disclaimer

SENIOR-LIVING seeks to provide objective information for families to make care decisions for their families. Our advisors and employees do not provide medical advice and do not endorse any specific facility. Care varies widely in this industry. We recommend that families complete their own due diligence, visit facilities, interview medical personnel and monitor care on an ongoing basis. SENIOR-LIVING will not be held responsible for any situations that arise from poor care at a local facility.

Use of Personal Information

The information collected on SENIOR-LIVING.com assists us in developing a recommendation for families to choose a care facility for a loved one. Our Local Care Advisors will contact you by email and telephone to discuss your care options, schedule tours and appointments and follow up to see if our information resulted in a care decision for the family. SENIOR-LIVING requires opt-in approval for any additional use of your information.

Payment

Members of the SENIOR-LIVING Care Network pay a referral fee for each resident who is placed in a participating facility. SENIOR-LIVING reserve the right to adjust the monthly referral fee on 30 notice, per our affiliate agreement. SENIOR-LIVING reserves the right to suspend service for unpaid invoices and charge interest on amounts remaining unpaid after the applicable due date at the rate of one and one half percent (1.5%) per month (or the highest rate permitted by law, if less). All amounts are payable in US Dollars.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

SENIOR-LIVING.com DOES NOT MAKE AND SPECIFICALLY DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF CARE and TREATMENT.

EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATION (BELOW), NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, EVEN IF SUCH PARTY IS AWARE OF THE RISK OF SUCH DAMAGES, THAT ARISE OUT OF OR RELATE TO THIS AGREEMENT, WHETHER ARISING IN CONTRACT, TORT OR OTHERWISE. EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATION (Below), LIABILITY FOR DAMAGES OF ANY KIND SHALL NOT, FOR ANY REASON, EXCEED THE AMOUNT ACTUALLY PAID BY ADVERTISER TO SENIOR-LIVING.com UNDER THIS CONTRACT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIABILITIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY.

Confidentiality

Except as necessary to fulfill its obligations in connection with this Contract, each party shall keep the existence and terms of this Contract confidential and neither party will publish any press release related hereto without the prior written consent of the other party.

Indemnity

Each party ("indemnifying party") hereby agrees to indemnify, defend and hold harmless the other party and the officers, directors, agents, affiliates, and employees of the other party from and against all claims, actions, liabilities, losses, expenses, damages and costs (including, without limitation, reasonable attorneys' fees) that may at any time be incurred by any of them by reason of any claims, suits or proceedings brought by a third party ("Third Party Liabilities") and arising out of any material breach by indemnifying party of any duty, representation or warranty under this Contract.

Amendment

SENIOR-LIVING.com reserves the right to make changes to the terms and conditions of this Contract by sending e-mail or other notification of such changes to the Facilities on the Care Network. If any proposed change is not acceptable to Facility, the Facility may terminate their Contract at any time before the changes take effect by providing written notice of such termination to SENIOR-LIVING.com. Notwithstanding the foregoing, notice of any price increase shall be provided as set forth in the Pricing and Billing section of the Affiliate contract.

Miscellaneous

This Contract sets forth the entire agreement between Advertiser and SENIOR-LIVING.com with respect to the transactions set forth herein, and supersedes any and all prior agreements of SENIOR-LIVING.com or Advertiser with respect to such transactions.

Advertiser shall not make any assignment of this Contract or any rights benefits or obligations hereunder (including, without limitation, by way of merger or consolidation) without the prior written consent of SENIOR-LIVING.com. In the event of an assignment, this Contract shall be fully binding upon, inure to the benefit of and be enforceable by the parties hereto and each of their respective successors and assigns.

This Contract shall be interpreted, construed and enforced in accordance with the laws of the Commonwealth of Virginia, except for its conflicts of laws principles. ADVERTISER HEREBY IRREVOCABLY CONSENTS TO THE EXCLUSIVE JURISDICTION OF THE COURTS OF THE COMMONWEALTH OF VIRGINIA AND THE FEDERAL COURTS SITUATED IN THE COMMONWEALTH OF VIRGINIA IN CONNECTION WITH ANY ACTION ARISING UNDER OR RELATING TO THIS AGREEMENT.
